We reserve the right to modify, update, amend, or replace any part of these Terms & Conditions at any time without prior notice. Any modifications will become effective immediately upon being published on this page. Your continued use of the website following the publication of such changes constitutes your acceptance of the revised Terms & Conditions. It is your responsibility to review this page periodically to stay informed of any updates.

By using this website, you also acknowledge that all information, materials, and services provided are subject to applicable laws and regulations of India, and you agree to comply with all such laws while accessing or using our Services.

SECTION 2 – User Eligibility & General Conditions

By accessing or using the CodeSquid website and its Services, you represent and warrant that you are at least 18 years of age or have reached the age of legal majority in your jurisdiction. If you are accessing the Services on behalf of a company, organisation, or other legal entity, you confirm that you have the authority to bind that entity to these Terms & Conditions.

CodeSquid reserves the right to refuse, restrict, suspend, or terminate access to its website or Services, at its sole discretion and without prior notice, if we believe that a user has violated these Terms & Conditions, applicable laws, or engaged in any activity that may compromise the security, functionality, or reputation of our website or Services.

You agree to use the website solely for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit anyone else's use and enjoyment of the website. You must not misuse the website by knowingly introducing viruses, malware, ransomware, or any other harmful technology, attempting unauthorised access to our systems, or engaging in activities that may disrupt the normal operation of the website.

Where account registration is required, you are responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account. Access to or use of the website does not grant you any ownership rights, licences, or other interests in any of the Content or intellectual property displayed on the website. You may access and use the website solely for your personal or internal business purposes in accordance with these Terms & Conditions.

Except with the prior written consent of CodeSquid, you shall not:

Any unauthorised use of our intellectual property may result in the suspension or termination of your access to our Services and may also lead to legal action, including claims for damages, injunctions, or other remedies available under applicable law.

SECTION 6 – Payments, Pricing and Billing

CodeSquid strives to provide transparent and competitive pricing for all of its products and services. The pricing displayed on our website is provided for informational purposes only and may be revised, updated, or withdrawn at any time without prior notice. Unless otherwise specified, all quotations, proposals, and estimates issued by CodeSquid are subject to change until accepted by both parties in writing.

For project-based services, payment terms, milestones, deliverables, and billing schedules shall be governed by the individual service agreement, proposal, or quotation accepted by the client. Failure to make payments on time may result in the suspension, delay, or termination of ongoing services, withholding of project deliverables, or additional charges where permitted by applicable law. CodeSquid reserves the right to recover any outstanding payments through lawful means.

Unless expressly stated otherwise, all payments made to CodeSquid are non-refundable once work has commenced or services have been delivered. Any refund requests shall be considered solely in accordance with the applicable service agreement or our Refund Policy, where applicable.

Clients are responsible for providing accurate billing information, including their name, billing address, contact details, and payment information. CodeSquid shall not be held responsible for delays, failed transactions, or service interruptions resulting from inaccurate or incomplete billing information provided by the client.

Where applicable, clients shall be responsible for paying any taxes, duties, government charges, or other statutory levies imposed under applicable laws, unless such charges are expressly included in the quoted price.

CodeSquid reserves the right to refuse, cancel, or suspend any order or service if fraudulent activity, unauthorised payment methods, or violations of these Terms & Conditions are suspected.

SECTION 7 – Third-Party Services and Links

The CodeSquid website may contain links to third-party websites, applications, software, tools, payment gateways, social media platforms, cloud services, or other external resources that are not owned, operated, or controlled by CodeSquid. These links are provided solely for your convenience and do not constitute an endorsement, sponsorship, or recommendation of any third-party products, services, or content.

CodeSquid has no control over the availability, accuracy, legality, security, privacy practices, or content of any third-party websites or services. Accordingly, we make no representations or warranties regarding such third-party resources and shall not be responsible or liable for any loss, damage, or inconvenience arising from your access to or use of them.

Your interactions, communications, transactions, or agreements with any third-party service provider are solely between you and that third party. Before using any external website or service, you are encouraged to review its terms and conditions, privacy policy, and other applicable policies. CodeSquid shall not be responsible for any disputes, claims, or liabilities arising from your use of third-party services.

Some features of our website may rely on third-party platforms or technologies to function effectively, including but not limited to payment processing, analytics, hosting, communication tools, mapping services, authentication services, or cloud infrastructure. While we strive to work with reliable service providers, CodeSquid does not guarantee the uninterrupted availability, security, or performance of any third-party service.

CodeSquid reserves the right to add, remove, replace, or modify third-party integrations or external links at any time without prior notice. The inclusion or removal of such services shall not create any obligation or liability on the part of CodeSquid.

  • Does not contain viruses, malware, malicious code, or any harmful software intended to disrupt the operation of our website or Services.
  • Complies with all applicable laws and regulations.

CodeSquid reserves the right, but is not obligated, to monitor, review, edit, reject, or remove any User Content that, in our sole discretion, violates these Terms & Conditions, applicable laws, or may negatively affect the security, reputation, or operation of our website or Services.

However, the content available on this website is provided for general informational purposes only and should not be considered professional, legal, financial, or technical advice. While we make reasonable efforts to maintain the accuracy of the information presented, we do not guarantee that all content will always be accurate, complete, reliable, or current.

From time to time, the website may contain typographical errors, inaccuracies, omissions, or outdated information relating to service descriptions, pricing, specifications, availability, technical details, promotional offers, or other content. CodeSquid reserves the right to correct any such errors, inaccuracies, or omissions and to modify, update, or remove any content on the website at any time without prior notice.

The publication of information on this website does not create any contractual obligation unless expressly stated in a written agreement signed by both CodeSquid and the client. Any quotations, proposals, timelines, or project estimates shared through official communication channels shall take precedence over the general information displayed on the website.

Users are encouraged to verify any important information directly with CodeSquid before making business decisions or relying upon information published on the website. CodeSquid shall not be held liable for any loss, damage, or inconvenience resulting from reliance on inaccurate, incomplete, or outdated information available on the website.

We reserve the right to modify, suspend, or discontinue any portion of the website, its content, products, or Services without prior notice. The absence of a specific update date on any webpage shall not be interpreted as confirmation that all information has been recently reviewed or updated.

SECTION 11 – Prohibited Uses

To maintain the security, integrity, and proper functioning of our website and Services, you agree not to use the CodeSquid website or any of its Services for any unlawful, harmful, fraudulent, or prohibited purpose. You are solely responsible for ensuring that your use of the website complies with these Terms & Conditions and all applicable laws and regulations.

Any misuse of the website or Services that causes damage, financial loss, security risks, or legal liability to CodeSquid or any third party may result in civil and/or criminal proceedings to the fullest extent permitted under applicable law.

SECTION 12 – Disclaimer of Warranties and Limitation of Liability

The CodeSquid website and all Services provided through it are offered on an "as is" and "as available" basis, without any express or implied warranties, representations, or guarantees of any kind, except where required by applicable law. While we strive to provide reliable, secure, and high-quality Services, CodeSquid does not warrant that the website or its Services will always be uninterrupted, error-free, secure, timely, or free from viruses or other harmful components.

CodeSquid makes no representations or warranties regarding the accuracy, completeness, reliability, suitability, or availability of any information, content, software, products, or Services available through the website. Any reliance you place on such information or Services is strictly at your own risk.

To the fullest extent permitted by applicable law, CodeSquid, its directors, employees, officers, affiliates, contractors, consultants, partners, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

Nothing in these Terms & Conditions excludes or limits any liability that cannot be excluded or limited under the laws of India.

SECTION 13 – Indemnification

You agree to indemnify, defend, and hold harmless CodeSquid, its directors, officers, employees, consultants, affiliates, contractors, licensors, service providers, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, expenses, fines, penalties, and reasonable legal fees arising out of or relating to:

  • Your use or misuse of the CodeSquid website or Services.
  • Your violation of these Terms & Conditions or any applicable law or regulation.
  • Any breach of your representations, warranties, or obligations under these Terms.
  • Any content, information, or material submitted, uploaded, or transmitted by you through the website or our Services.
  • Any infringement or alleged infringement of the intellectual property, privacy, contractual, or other legal rights of any third party resulting from your actions.
  • Any fraudulent, negligent, unlawful, or intentional misconduct committed by you while using our Services.

You agree to cooperate fully with CodeSquid in the defence of any claim that is subject to indemnification under this section. CodeSquid reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree not to settle any such matter without our prior written consent.

The obligations contained in this Section shall survive the termination or expiration of your use of the website or Services and shall remain enforceable to the fullest extent permitted under applicable law.

Nothing contained in this Section shall limit any other legal rights or remedies available to CodeSquid under these Terms & Conditions or under the laws of India.

SECTION 14 – Severability

If any provision, clause, or part of these Terms & Conditions is determined by a court of competent jurisdiction or any applicable legal authority to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be deemed modified or severed only to the extent necessary to make it valid and enforceable. The remaining provisions of these Terms & Conditions shall continue in full force and effect and shall not be affected, impaired, or invalidated by such determination.

The invalidity or unenforceability of any provision shall not affect the legality, validity, or enforceability of any other provision contained in these Terms & Conditions. Each provision shall be interpreted independently and, where possible, in a manner that best reflects the original intent of the parties while remaining compliant with applicable law.

If any provision cannot be modified to become enforceable, it shall be severed from these Terms & Conditions without affecting the validity or enforceability of the remaining provisions. The rights and obligations of both CodeSquid and its users shall continue to be governed by all remaining applicable provisions.

This Section shall be interpreted in accordance with the laws of India, and nothing contained herein shall limit any statutory rights that cannot be excluded under applicable law.

SECTION 15 – Termination

These Terms & Conditions shall remain in effect for as long as you access or use the CodeSquid website or any of its Services. CodeSquid reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the website or any part of the Services if you violate these Terms & Conditions, applicable laws, or engage in any activity that may harm the security, integrity, reputation, or operation of our website or Services.

You may discontinue your use of the website or Services at any time. However, any obligations or liabilities incurred prior to the date of termination, including payment obligations, confidentiality requirements, intellectual property rights, indemnification obligations, and limitations of liability, shall survive the termination of your access or use of the Services.

CodeSquid may also terminate or suspend access to the website without notice if:

  • You provide false, inaccurate, or misleading information.
  • You engage in fraudulent, illegal, or unauthorized activities.
  • Your actions compromise the security or functionality of the website or Services.
  • You violate any provision of these Terms & Conditions or any applicable agreement with CodeSquid.
  • Termination is required to comply with legal or regulatory obligations.

Termination or suspension of your access shall not limit or affect any legal rights, remedies, or claims available to CodeSquid under these Terms & Conditions or applicable law. CodeSquid shall not be liable for any loss, damage, or inconvenience arising from the suspension or termination of your access to the website or Services in accordance with these Terms.

SECTION 16 – Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any other policies, notices, service agreements, quotations, proposals, or legal documents expressly incorporated by reference, constitute the entire agreement between you and CodeSquid regarding your access to and use of the website and Services.

These Terms supersede all prior or contemporaneous communications, negotiations, understandings, representations, warranties, agreements, or proposals, whether oral or written, relating to the subject matter herein.

No waiver by CodeSquid of any provision, right, or remedy under these Terms & Conditions shall be deemed a continuing waiver of such provision, right, or remedy, nor shall any failure or delay by CodeSquid in exercising any right or remedy constitute a waiver of that right or remedy.

Any ambiguities in the interpretation of these Terms & Conditions shall not be construed against either party solely because one party drafted or prepared these Terms. Both parties acknowledge that they have had the opportunity to review and understand these Terms before using the website or Services.

In the event of any conflict between these Terms & Conditions and a separately executed written agreement between CodeSquid and a client, the provisions of the written agreement shall prevail only with respect to the specific services covered by that agreement.

These Terms & Conditions shall remain binding upon and shall benefit CodeSquid and its users, as well as their respective successors, permitted assigns, and legal representatives.

SECTION 17 – Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Your use of the CodeSquid website and Services shall at all times be subject to the applicable laws, rules, and regulations in force within India.

Any dispute, controversy, claim, or legal proceeding arising out of or relating to these Terms & Conditions, the use of the website, or any Services provided by CodeSquid shall first be attempted to be resolved amicably through mutual discussions between the parties. If such a resolution cannot be reached within a reasonable period, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Panipat, Haryana, India.

You agree that the courts of Panipat, Haryana shall have exclusive jurisdiction over any legal action, claim, or proceeding arising from or relating to these Terms & Conditions or your use of the website and Services.

If any provision of these Terms & Conditions is found to conflict with applicable law, only that specific provision shall be modified or interpreted to the minimum extent necessary to comply with the law, while all remaining provisions shall continue in full force and effect.

Nothing in these Terms & Conditions shall limit CodeSquid's right to seek injunctive relief, equitable remedies, or any other legal remedy available under applicable law in any competent jurisdiction where such relief is necessary to protect its intellectual property, confidential information, or other legal rights.

SECTION 18 – Changes to These Terms & Conditions

CodeSquid reserves the right to modify, amend, update, or replace these Terms & Conditions at any time, at its sole discretion, to reflect changes in our business practices, services, legal requirements, or operational needs. Any revisions will become effective immediately upon being published on this page unless otherwise stated.

It is your responsibility to review these Terms & Conditions periodically to remain informed of any updates. Your continued access to or use of the CodeSquid website and Services after any changes have been posted constitutes your acceptance of the revised Terms & Conditions.

Where changes materially affect your rights or obligations, CodeSquid may, where reasonably practicable, provide notice through the website, email, or other appropriate communication channels. However, the absence of such notice shall not affect the validity or enforceability of the updated Terms.

If you do not agree with any revised Terms & Conditions, you must discontinue using the website and all related Services immediately. Continued use of the website after the effective date of the updated Terms signifies your agreement to be legally bound by the revised version.

The latest version of these Terms & Conditions will always be available on the CodeSquid website and shall supersede all previous versions.
